2. EXHIBITION THEME / OFFER
International Trade Fair in Germany for the entire field of turned parts, turning and milling technology, starting with the lathe up to the tool and accessories up to the finished parts. turn&milltec offers a specialized Trade Fair for exhibitors and visitors. It focuses on the increasing area of turned parts, turning and milling technology at one Trade Fair. In this way, new technologies in the tool and lathe / milling industry and in turning and milling processing will be presented and promoted. Exhibitors are companies from the areas of work protection, turning machines, turning parts, waste disposal, milling parts, coolants and lubricants, storage and conveying equipment, engineering and construction, machine overhaul, measuring, metal refinement, preliminary treatment / finishing, cleaning systems for turned parts, raw materials, bar feeders, control and software, packaging technology, tooling, tool control, etc.

Duration of the Exhibition: Wednesday, Dec. 1 - Friday, Dec. 3, 2010. The dates of installation and dismantling are indicated in the Exhibitor Manual.

is organizer of turn&milltec, (subsequently called organizer). The organizer is entitled to transmit all rights and duties to a third party.
5. APPLICATION FOR THE EXHIBITION
As part of his legally-binding Application, the Applicant also accepts all the General Conditions of Exhibition, the existing conditions of house and rental space, and the “Technical Regulations,” as (also) binding, (in their entirety). The Application must be made on the (turn&milltec) Application Form. Only in special circumstances may applications in other written form, verbally, or telephonically be allowed. Irregardless of the form of the Application, however, the Application is legally binding for the Applicant / Exhibitor. The authorized signature on the Application Form is legally binding for the Applicant / Exhibitor. In case of an application signed by a third person, e. g. an independent representative, signatory and exhibiting company are responsible as joint debtors for all liabilities, caused by the application and the exhibition participation.
6. ADMISSION
Only the Organizer may determine if the Applicant may be allowed to participate (as Exhibitor) in the turn&milltec. The Application does not give the Applicant any right whatsoever to a specific rental space area. An Exhibitor will only be allowed to exhibit at the turn&milltec 2010, when all (invoiced) payments required have been made by the dates specified. The organizer exclusively decides about the admission of an applicant to the exhibition. The application does not justify a legal claim on a stand place. The organizer decides about the admission of the applicants without being bound to justify his decision. Latest with the receival of the first part of the invoice is the exhibitor admitted to the fair. The organizer shall determine the composition of the event, in particular the branches of industry and the product groups and their make-up and is entitled, in deciding upon exhibitor acceptance to take account of the composition of the exhibitors in respect of international origin, company structures, economic categories and other objective features. It is in no way bound by decisions taken in the past regarding previous events. The organizer is entitled to exclude at any time from admission, i. e. presentation, exhibition articles which do not conform to the targets set for the event.
7. REGULATIONS FOR SALES OF EXHIBITS
The direct sale of exhibits is not permitted, unless a special permission has been granted by the organizer beforehand.
8. STAND RENTING
On acceptance of the application, the exhibitor will then receive a written confirmation of his rental space area. If admission rights are being transmitted to a third party, it is obligatory to ask for a written permission. In case of a participation of a coexhibitor a general participation fee of € 690,– is to be paid. Further companies represented by the exhibitor are also obliged to pay a participation fee of € 690,–. In case of non-admitted subrenting or co-participation at the stand, 50% of the participation fee (stand and promotion fee) are additionally charged to the exhibiting company. Claims for compensation of any kind – mistakes made in the placing included – cannot be asserted. The organizer is entitled to transfer or alter the entrances and exits to the exhibition center as well as the corridors in the halls. No claim can be asserted out of this reason or because of the location of the stand. The allocation of the stands shall be made according to technical factors relating to the exhibition. Exhibitors have no right to any particular position or size of stand, regardless of any positioning proposal which may have been made on the registration form.
9. PAYMENT CONDITIONS
20 % of the rental space fee must be paid with the Application. 30 % of the rental space fee must be paid on receipt of confirmation and the confirmation of location. The remaining space rental fee is due (in full) not later than 8 weeks before the opening date of turn&milltec. This last payment of 50 % includes all charges, specifically the surcharge for advertising, the charge for a shell scheme, and, any and all additional charges, and, must be paid in full before the rental stand space can be occupied. If the space rent and the obligatory promotion fee have not been paid within the period indicated, the exhibitor loses the right to participate at the fair, apart from his liability to pay. If the payment is not or just partly fulfilled within the time specified, the organizer is entitled to send the participation contract by recorded delivery to the exhibitor’s latest address without regarding any period of notice and to terminate the contract regardless of the continuing liability of the exhibitor for the complete space rent. Three days after handing in the recorded delivery, the organizer is entitled, but not forced to use the noticed stand space for a different purpose. Exclusion from future exhibitions is authorized; the exhibitor cannot claim for compensation. Exhibitors who have not paid the invoice for the stand space within the period indicated, particularly lose any right to complain. In case of default, the organizer is entitled to charge 13 % interest payable on arrears. In any case, the tenant is liable for the fee of the rented space. Should the event be interrupted, once opened, by force majeure the organizer is not obliged to refund the space rent or parts of it.
10. OBJECTIONS
Objections to a stand rented or to invoices for a stand rent must be made in writing within a preclusive period of 14 days following receipt of invoice; in the case of renting immediately before the exhibition, objections must be made one day before the beginning of the exhibition at the latest. Any objections made later cannot be accepted. For all obligations which have not been fulfilled by the exhibitor, the organizer has the right of seizure in respect of the stand equipment and exhibits belonging to the exhibitor. The organizer has the right to dispose of these objects immediately to remunerate by the sales of the goods. The organizer is not liable for damages or losses of the securities, except for negligence.
11. WITHDRAWAL FROM THE APPLICATION
A. The application for turn&milltec is legally binding until the date of acceptance by the organizer. A booking cancellation before acceptance of the application by the organizer is only possible under very exceptional circumstance, and on the condition that 25 % of the stand rental space charge and the advertising surcharge are paid immediately. After acceptance of the application by the organizer, neither cancellation nor a reduction in the rental space area is possible. With the confirmation a withdrawal or a reduction of the stand space is no longer possible. The complete amount of the space rent and promotion fee are to be paid. For withdrawals within 12 weeks before the beginning of the fair an expense allowance of 25 % of the stand space amount is required.
B. The cancellation of already ordered ready-installed stands and of rented furniture/fittings within two weeks after the order has been placed, is possible on the condition that a cancellation fee of 10 % (ten percent) of the amount is paid. A cancellation after that date can only be permitted if a cancellation fee of 50 % (fifty percent) is paid. Within 12 weeks before the beginning of the fair a cancellation is not permitted.
C. Co-exhibitors: The cancellation of the co-exhibitor or any other termination of the contractual obligation for participation at turn&milltec will not be permitted. If the co-exhibitor does not exhibit, the full participation fee for co-exhibitors must be paid.
12. STAND CONSTRUCTION AND DISMANTLING TIMES
The exhibitor is allowed access to the exhibition center one hour before and after the official opening hours. He can move into the stand as soon as cleared by the organizer. The exhibitor is liable for damages and losses incurred at the objects rented. By handing over the application, the exhibitor commits himself to occupy his stand in time before the beginning of the exhibition and to stay until the official end of the fair. In case of dismantling the stand earlier, either completely or partly, or if he does not occupy his stand at all or not in time, the exhibitor is liable to pay the total amount of the stand rent and promotion fee plus an additional amount of 2500,– EURO penalty for breach of contract. Stand construction and dismantling times are indicated in the ’Service Manual’. Only in exceptional circumstances can construction and dismantling work be carried out outside of this period and then only with the prior written consent of the organizer against the payment. Stand arrangement and equipment is up to the exhibitor. In view of a good general picture, the organizer’s instructions have to be respected. In particular, the appearance of the hall and of the neighbouring stands is not to be disturbed. Visible rear and side walls of stands, exhibits or signs have to be covered neatly. Dividing walls of max. 2,50 m may be exceeded or reduced only by approval of the organizer. Exhibitors who do not construct a stand must at least have white rear and side walls. The organizer does not separate the stands by walls. If the clearance of the stands has not been undertaken within the time indicated, the organizer is authorized to have the stand cleared at the expense of the exhibitor. With no liability for losses or damages, the goods will be put in store at the organizer’s forwarder. With laying of carpet, only adhesive tape with no remains has to be used and removed. Otherwise the exhibitor is charged by the ordered cleaning firm.
13. LIGHTING, ELECTRICITY, GAS, WATER AND COMPRESS
The organizer is responsible for the general lighting in the halls. The exhibitor will be charged separately for the costs of the installation of gas, water and electricity supply etc. for each stand as well as the costs for the usage of gas, water and electricity etc. Costs for closed circuits will be charged proportionally. All installations outside the stand may only be carried out by specialist firms authorized by the organizer. Supplies for machines and devices which are not registered, do not fulfill VDE regulations or whose consumption is higher than indicated, can be removed. The stand owner is liable for all damages incurred by uncontrolled removal of energy. The organizer is not liable for interruptions or capacity fluctuations in gas, air, water and electricity supply etc.
14. ACOUSTIC TRANSMISSIONS / ADVERTISING
The inside area of the stand may be used by the exhibitor for advertising purposes, although only in respect of the exhibits displayed by him. Public address, video, music and transparency/photograph equipment at the stand require a license. The application has to be made 8 weeks before the beginning of the exhibition at the latest. The volume of background music and announcements has to be balanced so that it cannot be heard at the neighbouring stands, e. g. by appropriate technical means, installation of several speakers with low watt power in 1.80 m maximum. In case of disregard of these regulations, the electricity supply at the exhibitor’s stand can be interrupted with no consideration for the loss of energy supply. The exhibitor cannot claim for compensation of any kind for any direct or indirect damage from the interruption of the energy supply. The exhibitor has the burden of proof for the keeping of the regulations. Publicity measures may neither be implemented outside the boundary of the stand nor on or in front of the Fair Ground; subject to this condition is also the use of persons for publicity purposes, as well as the distribution of any kind of advertising material, for example leaflets, posters, stickers, etc. in the gangways of the exhibition halls, on the Fair Ground, in the direct vicinity of the Fair Ground, as well as in fair car parks. It is equally prohibited to carry out surveys, tests, competitions, raffles or contents outside the stand. In exceptional circumstances, balloons may be used within the stands providing they are filled with safety gas and the prior consent of the

Brief special presentations with a high noise level are only possible in exceptional cases and with the permission of the organizer.
15. STAND GUARDS EXCLUSION OF LIABILITY / INSURANC
The organizer is responsible for the general guarding of the halls and for the control of the entrances. This general guarding lasts until the official ending of the exhibition on the final day. Then, every exhibitor has to take increasing care for the security of his goods. Additional stand guarding must be ordered with the contracted firm. For any loss or damage of articles brought by the exhibitor, arising during the exhibition, transport and at installation and dismantling times, the organizer is not liable. The general guarding assumed by the organizer does not limit the exclusion of liability for damages to property or injuries. The organizer is only liable within the framework of his legal liability so that any further liability for damages to property or injuries incurred on the exhibition center, in the halls, on the uncovered exhibition area, parking lot, paths etc. are excluded. In particular, damages resulting from fire, water, explosion, demonstration, act of violence, storm and other kinds of force majeure or from theft, burglary, break-down of a supply network (such as electricity, gas, water) and similar causes are excluded. The exhibitor has to insure himself against all possible dangers (esp. theft of exhibits). Under the Law on Technical Working Equipment from 24.6.1968 (Gerätesicherheitsgesetz – Equipment Safety Act), the exhibitor may only exhibit and demonstrate working equipment (machines and appliances) if the equipment has been made in accordance with all the generally recognized regulations of technology applicable in the Federal Republic of Germany, as well as with all employment protection provisions, all legal, official trade association and other safety regulations or the equipment has been fitted with all safety facilities necessary to protect both user or third persons from every form of danger to life and health when properly used. The exhibitor undertakes all legal and official regulations, including those issued by the occupational accident insurance authorities, and any other accident prevention rules and all safety directives during the construction and dismantling work and for the duration of the event. This includes the safety regulations issued by Messe Frankfurt. At all times, access to the stands must be given to members of the police, fire brigade, rescue services, Trade Supervisory Office, Building Supervisory Board and the regulatory agency, as well as the representative of Messe Frankfurt. Their instructions are to be obeyed. The organizer is entitled to check at any time whatsoever that the security regulations are being observed. The organizer is authorized to order the immediate elimination of a situation which does not conform to regulations at the expense of the exhibitor and to prohibit at all times any operation which is against regulations. At any time the organizer may prevent the operation of machines, appliances etc., as well as renewed operation, if it considers such operation to constitute a danger or if other exhibitors or visitors are irritated or troubled by them. The decision of the organizer is final. The exhibitor undertakes to observe instructions and directives given on the basis of public emergency regulations, e. g., smog directives, emergency laws, etc. The exhibitor is liable for all damage to persons or property, as well as economic losses, which have been caused by his stand construction, stand equipment, exhibits and their operation or by his employees or those acting on his behalf. If local trade and sanitary permits are necessitated, these are to be obtained by the exhibitor in good time prior to the start of the event and kept on hand at the stand. The organizer does not bear the risk of insurance.
16. FORCE MAJEURE AND EXCLUSION OF CLAIMS FOR COMP
In case of urgent reasons through no fault of his own or in case of force majeure, the organizer is authorized to postpone, transfer, shorten or to extend the trade fair. In such justified exceptional situations, the exhibitors neither have a right of withdrawal nor of claim for compensation. If the exhibition does not take place because of the above mentioned reasons or not at the times previewed – consequently, through no fault of the organizer – the organizer may demand up to 25% of the stand rent from the exhibitor as a general compensation for the expenses. The organizer can ask for a bigger amount only if the exhibitor has ordered special services with additional costs. Should the event be interrupted, once opened, by force majeure or other urgent reasons as e. g. under the influence of a third party, demonstrations, acts of violence, disturbances, damages resulting from war, fire, water or ecological damage, the organizer is not obliged to reimburse rents or parts of it. The organizer is authorized to cancel or change the exhibition without acception of any claim for compensation. In case the exhibition has to be completely canceled, the already paid stand rents minus the costs of preparation (min. 25%) will be reimbursed excluding any claim for compensation.
17. EXHIBITOR TICKETS AND ENTRANCE TICKETS
Every exhibitor receives exhibitor tickets according to his stand size (further details see Service Manual).
18. CLEANING
The organizer is responsible for the cleaning of the hall gangways and of the uncovered exhibition area. The exhibitor is responsible for the cleaning of his stand which has to be completed before the daily opening of the exhibition.
19. EXHIBITS
Only goods and services indicated in the product list or authorized in writing by the organizer may be presented at the exhibition. Non-authorized exhibits or services may be removed by the organizer at the expense of the exhibitor. In case that the exhibitor presents repeatedly non-authorized exhibits or services, the organizer is entitled to close the stand. The same applies for inadequate objects regarding appearance, smell, noise or obvious faults.
20. SERVICE MANUAL
Following to the stand allocation, the exhibitor will receive any information necessary through the ’Service Manual’. Especially, all points concerning installation, stand equipment, delivery of goods, forwarding regulations, energy supply etc. will be covered. The ’Service Manuals’ are part of the Exhibition Conditions.
21. PICTURE AND SOUND RECORDINGS
In the halls all kinds of visual and sound recording are prohibited. Only specific fair photographers authorized by the organizer are allowed to do professional visual and sound recordings within the exhibition centre.
22. VERBAL AGREEMENTS
Verbal agreements are valid only together with a written confirmation by the organizer.
23. LIMITATION
Any objections of the exhibitor arising from the contract with the organizer as well as non-contractual claims are to be declared within 8 days after the end of the exhibition by recorded delivery. All claims of exhibitors against the organizer are in lapse within 6 months; the limitation period begins at the end of the month of the last exhibition day.
24. PLACE OF PERFORMANCE AND JURISDICTION
For all disputes arising between exhibitor and organizer, Frankfurt/Main is the place of performance and exclusive jurisdiction. For the interpretation of the contract the German text is valid. In case of disputes, the law valid in the Federal Republic of Germany has to be applied.
25. FINAL REGULATIONS
At the exhibition center the organizer holds rights as a householder. Traffic regulations: Orders of the supervisory staff are always to be obeyed. Vehicles are only to be parked in the parking lots designated. Parking in front of the hall doors and entrances is prohibited. Any violation of the present regulations, the additional instructions made by the organizer as well as violations of the regulations under public law, esp. safety regulations valid for the exhibition, can result in an exclusion of the offending exhibitor without prior notice, within the organizer’s discretion. The transportation of sold goods during the exhibition can only be carried out with the organizer’s consent together with delivery note in duplicate. The stand including the registered goods has to be occupied during the whole time of the exhibition. By signing the application, the organizer accepts for himself and for his staff or representatives the participation and exhibition conditions as above mentioned, regulations of the local police, factory safety and health control and all other legal regulations as well as the house rules. In case that some of these exhibition conditions should no longer be valid, this has no influence on the law effectiveness in general.
